Goldrush Holdings is a JSE-listed investment holding company that owns 59.4% of the issued shares in the Goldrush Group.

Goldrush Holdings’ ownership structure consists of two types of securities: ordinary shares, and participating preference shares. The ordinary shares are unlisted. The participating preference shares are listed on the JSE under code GRSP. The economic interests of the ordinary and participating preference shares are identical. The ordinary shares hold the voting rights (except in certain special situations, which are more fully explained in the pre-listing statement and Memorandum of Incorporation, available at goldrushholdings.co.za).

Goldrush Holdings is governed by a board of directors and does not employ any staff directly and all the operational and administrative functions are outsourced to Regarding Capital Management (Pty) Ltd (“RECM”). RECM performs both an investment management function and the administrative and operational functions on behalf of Goldrush Holdings.
